Standard Terms and Conditions & Privacy Statement
1. Scope of Services
1.1 TheOverleaf.ky will provide services as agreed in writing.
1.2 Any additional work outside the agreed scope will be subject to a separate agreement or amendment.
2. Fees and Payment
2.1 Fees will be agreed in advance and outlined in a written proposal or contract.
2.2 Invoices will be issued as per the agreed payment schedule.
2.3 Payment is due before any work will commence on your project and within 30 days of the invoice date unless otherwise stated.
2.4 We reserve the right to charge interest on overdue payments in accordance with the Cayman Islands' applicable laws.
3. Cancellations and Rescheduling
3.1 The Client may cancel or reschedule services by providing at least 45 calendar days’ written notice.
3.2 Cancellations with less than 30 days’ notice may incur a charge of up to 50% of the agreed fee.
3.3 Non-attendance or cancellation within 14 days may be charged at 100%.
4. Confidentiality
4.1 Both parties agree to keep confidential all information exchanged in the course of the agreement, unless disclosure is required by law.
4.2 Confidentiality obligations shall survive the termination of this agreement.
5. Intellectual Property
5.1 All materials developed by us remain our intellectual property unless explicitly transferred by written agreement.
5.2 The Client is granted a non-exclusive, non-transferable licence to use materials for internal purposes only.
6. Limitation of Liability
6.1 We will provide services with reasonable skill and care.
6.2 We shall not be liable for any indirect, incidental, or consequential losses resulting from the services provided.
6.3 Liability is limited to the total amount paid by the Client under the relevant agreement.
7. Force Majeure
7.1 We shall not be held liable for delays or failures resulting from events beyond our reasonable control, including but not limited to natural disasters, pandemics, travel disruption, illness or government restrictions.
8. Governing Law and Jurisdiction
8.1 Any agreement is governed by the laws of the Cayman Islands.
8.2 Any disputes arising shall be subject to the exclusive jurisdiction of the courts of the Cayman Islands.
9. Amendments
9.1 Any amendments to these terms must be agreed in writing and signed by both parties.
10. Privacy Policy
10.1 We prioritise the security of your personal information and employ appropriate measures to safeguard it from unauthorised access, disclosure, alteration, or destruction.
10.2 Our website may use cookies to enhance user experience. You can choose to disable cookies through your browser settings, but this may affect the functionality of certain parts of the site.

10.4 By providing us with your data, you agree to us holding and storing your information. Your information will be stored securely and will not be shared with any other organisation for marketing purposes. We will never sell your data.

Where you are registered for a programme that we provide in partnership with another organisation, we may share your data with both the partner and any relevant regulatory body. For example, if you register for a CMI programme, we will share your data with CMI to register you as a student and may be required to share data with OFQUAL, the UK government regulator for their qualifications.
